Standard Conditions of Sale
1. Interpretation
Company means Pneutrol International Limited, company number NI11109 whose registered address is 5 Caulside Drive, Antrim, Northern Ireland, BT41 2DU.
Conditions means the terms and conditions of sale set out in this document and (unless the context otherwise requires) includes any special terms and conditions agreed in writing between the Company and the Customer.
Contract means the contract for the sale of Goods and/or the provision of Services. Customer means the person so described in the Order.
Goods means the goods (including any instalment of the goods or any part of them) described in the Order.
Order means the Customer’s order for the supply of Goods and/or Services, as set out in the Customer’s purchase order form, or the Customer’s written acceptance of the Company’s quotation or as agreed between the parties from time to time.
Services means the services (if any) described in the Order.
2. Basis of Contract
- These Conditions apply to the Contract to the exclusion of any other terms that the Customer seeks to impose or incorporate, or which are implied by trade, custom, practice or course of

- No employee, representative or agent of the Company has any authority to vary or add to these standard conditions or to make any representations concerning Goods to be supplied by the Company except with the Company’s official confirmation in writing from its head office. In entering into a contract, the Customer acknowledges that it does not rely on, and waives any claim for breach of, any such representations which are not so
- Any quotation by the Company is valid for 30 days unless a shorter period has been specified. On acceptance by the Customer of any quotation the execution of any Order resulting from a quotation shall be sufficient to infer acceptance to these
- Any information from the Customer to enable the Company to proceed with any order must be furnished within a reasonable time, otherwise the Company may at its option cancel the order or charge the Customer an additional price for the In case of cancellation the Customer will be liable to the Company for any loss incurred by it.

However from the date of the order, a 7 day cooling off period will be allowed during which cancellations or reducing the order will be accepted by the Company without penalty.
- Any typographical, clerical or other omission in any sales literature, quotation, price list, acceptance of offer, invoice or other documentation or information issued by the Company shall be subject to correction without any liability on the part of the Company
3. Goods
- The Goods supplied by the Company of its own manufacture shall be of satisfactory quality and the Company undertakes to replace or repair, free of cost, any Goods manufactured by the Company and supplied by it direct to the Customer of which it shall receive notice and which shall be proved to its satisfaction within a period of 1months from delivery to be defective in workmanship or materials providing:
- that written notice of complaint is given to the Company within 7 days of the discovery of the defect;
- that the Goods (or the relevant part) are returned, carriage paid, to the Company and shall in the event of replacement become its property;
- that the defect has not been caused by the fair wear and tear; carelessness or improper treatment, or inadequate lubrication;
- that the Company shall not be liable for the cost of removal of the defective Goods or the cost of fitting the new Goods;
- that the guarantee period of 12 months shall be proportionately reduced if the machinery is run more than one shift per day;
Any new Goods to be supplied in accordance with this condition 4.1 will be delivered by the Company, carriage paid, to the Customer’s address in the UK or Republic of Ireland
- The Company makes no warranty concerning Goods not manufactured by it, in respect of which the Company will assign to the Customer the benefit of any warranty or guarantee which is given by the manufacturer of such Goods to the Company and otherwise the Company will be under no liability to the Customer in respect of any such defect. Where the Customer makes a valid warranty claim under the manufacturer’s warranty, the Company shall provide the Customer with reasonable assistance in making such warranty
- All second hand Goods sold by the Company (including Goods sold as re-conditioned, re-furbished or overhauled) are sold “as seen” on the basis that the Customer has satisfied himself as to the condition of the same and no warranty is given by the Company as to the nature, quality, fitness for purpose or state of repair of the

- The Company reserves the right by giving notice to the Customer at any time before delivery to increase the price of the Goods to reflect any increase in the cost to the Company which is due to any factor beyond the control of the Company (such as, without limitation, any foreign exchange fluctuation, currency regulation, alteration of duties, significant increase in the costs of labour, materials or other costs of manufacturer) or to any change in the delivery date, quantities or specifications for the Goods which is requested by the Customer, or any delay caused by any instructions of the Customer or failure of the Customer to give the Company adequate information or instruction.
4. Delivery
- Unless otherwise agreed in writing by the Company, the Company shall deliver the Goods to the location set out in the Order or such other location as the parties may agree (Delivery Location) at any time after the Company notifies the Customer that the Goods are

5. Title and Risk

- Title to the Goods shall not pass to the Customer until the Company receives payment in full (cash or cleared funds) for the Goods in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment. Until title to the Goods has passed to the Customer, the Customer shall:
- store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as the Companies property;
- not remove, deface or obscure any identifying mark or packaging on or relating to the Goods;
- maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on the Companies behalf from the date of delivery; and
- notify the Company immediately if it becomes subject to any events listed in condition
- If before title to the Goods passes to the Customer, without limiting any other right or remedy the Company may at any time:
- require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and
- if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover
6. Supply of Services
- The Company warrants to the Customer to provide the Services using reasonable care and

- If the Services are prevented, delayed or impeded by any act or omission of the Customer including failure to advise the Company of special conditions relating to the site and/or failure to prepare the site with suitable access and/or failure to provide sufficient assistance to provide the Services the Customer shall pay such extra charge as the Company shall reasonably
- Where the Company provides any labour at the Customer’s works the Customer shall indemnify the Company against the consequences of any defect or unsuitability of any plant or apparatus provided by the Customer and against any claims by third parties of liability under statute arising out of such defect or
7. Price and Payment
- The price of Goods shall be the price set out in the Order or, if no price is quoted, the price set out in the Company’s published price list as at the date of The price of the Goods is exclusive of all costs and charges of packaging, insurance, transport of the Goods unless clearly stated.

- The charges shall be calculated in accordance with the Company’s standard daily fee rate, as set out in the quotation;

- The Company shall be entitled to charge an overtime rate of 50 per cent on the standard daily fee rate on a pro-rata basis for each part day or for any time worked by individuals whom it engages on the Services outside the hours referred to in condition

- A party (receiving party) shall keep in strict confidence all technical or commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to the receiving party by the other party (disclosing party), its employees, agents or subcontractors, and any other confidential information concerning the disclosing party’s business, its products and services which the receiving party may

- The Company shall not be liable in contract, tort (including negligence), pre-contract or other representations (other than fraudulent or negligent misrepresentations) or otherwise under this contract for: (a) any economic losses (including loss of revenues, profits, contracts, business or anticipated savings); or (b) any special, indirect or consequential losses, whether or not such losses were known to the parties at the commencement of this
